1 Introduction

1.1 Purpose and Scope of These Terms

These Terms and Conditions for Suppliers (hereinafter referred to as the “Terms”) govern the participation, registration, and activities of all businesses and individuals who wish to sell, distribute, manufacture, or supply products through the EmaanMall Distribution Marketplace (hereinafter referred to as “EmaanMall,” “the Platform,” “we,” “our,” or “us”). The primary purpose of these Terms is to establish a clear and transparent framework that defines the rights, obligations, and responsibilities of all suppliers, distributors, manufacturers, and dealers while using the EmaanMall platform. These Terms ensure that all participants maintain ethical trading practices, comply with applicable laws, and contribute to a reliable and trustworthy B2B and B2C e-commerce ecosystem.

1.2 Applicability to All Suppliers, Distributors, Manufacturers, and Dealers

These Terms apply equally to all categories of vendors, including but not limited to:

  • Suppliers: Businesses or individuals offering goods to retailers or end consumers via EmaanMall.
  • Distributors: Entities that distribute branded or non-branded products to wholesalers or retailers through the platform.
  • Manufacturers: Producers or fabricators of goods who wish to sell directly to buyers or retail stores.
  • Dealers or Wholesalers: Authorized resellers or traders who purchase in bulk and resell products through EmaanMall.

Regardless of category, every registered vendor on EmaanMall Distribution Marketplace must adhere to these Terms, EmaanMall’s Privacy Policy, Product Listing Guidelines, and any other operational policies issued by EmaanMall from time to time.

1.3 Agreement to Comply with These Terms

By registering as a Supplier, Distributor, Manufacturer, or Dealer on EmaanMall Distribution Marketplace, you acknowledge that:

  1. You have read, understood, and agreed to be legally bound by these Terms and Conditions.
  2. You have the authority to represent your business or organization and to enter into binding agreements.
  3. You agree to comply with all applicable laws, trade regulations, consumer protection rules, and EmaanMall’s platform policies.
  4. You understand that EmaanMall reserves the right to amend, modify, or update these Terms periodically, and your continued use of the platform will constitute acceptance of any such changes.

Failure to comply with these Terms may result in suspension, restriction, or termination of your account and related services on EmaanMall Distribution Marketplace.

6.2 Accuracy and Truthfulness of Information

  1. All product listings must be factually correct, clearly written, and up to date at all times.
  2. Each listing shall accurately describe the product’s characteristics, such as name, model, specifications, dimensions, materials, brand, and origin.
  3. False, exaggerated, or misleading claims — including performance guarantees, fake certifications, or unverified reviews — are strictly prohibited.
  4. Listings that misrepresent a product or omit material details that could mislead the buyer may be removed without notice.
  5. The Supplier is solely responsible for ensuring that all content (text, image, video, or file) is truthful and non-deceptive.

6.3 Product Titles and Descriptions

  1. Titles must reflect the exact product name, avoiding unnecessary symbols, capital letters, or promotional phrases such as “Best Deal” or “100% Original.”
  2. Descriptions should be clear, detailed, and relevant, containing accurate information about features, materials, size, packaging, and usage instructions.
  3. Product descriptions must be written in professional English and may be accompanied by a secondary translation if desired (e.g., Urdu).
  4. Marketing language is allowed only if it does not mislead or overstate product benefits.
  5. Suppliers must not copy content from other websites, platforms, or competitors unless they own or are licensed to use it.

6.4 Product Images and Media Content

  1. Each listing must include at least one high-quality image that accurately represents the actual product being sold.
  2. Images should be clear, well-lit, and free from watermarks, logos, or contact details not belonging to EmaanMall.
  3. Stock photos may only be used when they accurately represent the real product and do not violate copyright or trademark laws.
  4. The use of third-party brand logos or images is allowed only with valid authorization.
  5. Misleading visuals — such as edited images that exaggerate product features — are strictly prohibited.
  6. Video content must also comply with these same standards of accuracy, ownership, and professionalism.

6.5 Prohibited and Restricted Content

A. Illegal or Restricted Products

  1. Counterfeit or replica goods, unauthorized brand imitations, or unlicensed merchandise.
  2. Weapons, explosives, ammunition, or items intended for violence.
  3. Narcotics, drugs, controlled substances, or related paraphernalia.
  4. Tobacco, e-cigarettes, or alcohol products (unless specifically permitted under law and EmaanMall policy).
  5. Pornographic, obscene, or sexually explicit materials.
  6. Items promoting hate speech, discrimination, or violence against any group or individual.
  7. Live animals, wildlife products, or materials derived from endangered species.
  8. Currency, financial instruments, or illegal digital assets (including unauthorized tokens or crypto-mining devices).
  9. Items recalled by regulatory authorities or banned for sale in Pakistan.

B. Prohibited Content or Behavior

  1. Content containing offensive, defamatory, or discriminatory language.
  2. Listings that include political, religious, or controversial messages unrelated to the product.
  3. Any image or text that violates privacy, copyright, or intellectual property rights.
  4. Listings that attempt to redirect buyers outside of EmaanMall (e.g., external contact numbers, website links, or QR codes).
  5. Misuse of category or keyword tagging to artificially increase visibility.

6.6 Brand Name Usage and Intellectual Property

  1. Suppliers may use a brand name only if they are authorized owners, license holders, or approved distributors of that brand.
  2. Unauthorized use of a third-party brand name, logo, trademark, or copyrighted material is strictly prohibited.
  3. EmaanMall reserves the right to request proof of brand authorization at any time.
  4. Failure to provide documentation may result in immediate removal of affected listings and suspension of the vendor account.
  5. Suppliers must respect intellectual property laws, including copyright, design, and patent regulations.

6.7 Product Categorization and Tags

  1. Each product must be listed under the correct category and subcategory that best describes its nature and purpose.
  2. Incorrect categorization may mislead buyers and will result in listing corrections or removal by EmaanMall.
  3. Tags and keywords must be relevant, descriptive, and truthful, avoiding keyword stuffing or unrelated search terms.

6.8 Pricing, Discounts, and Offers

  1. All product prices must be accurate, final, and inclusive of applicable taxes and fees.
  2. Any promotional offer, discount, or bundle must be genuine and clearly described.
  3. Artificially inflating prices to create false discount perceptions is prohibited.
  4. Suppliers must promptly update pricing changes through the Vendor Dashboard to ensure accuracy and avoid disputes.

6.9 Listing Review and Approval

  1. EmaanMall reserves the right to review, approve, reject, or modify any product listing before or after publication.
  2. Listings that violate content standards, laws, or marketplace policies may be suspended or deleted without prior notice.
  3. Repeated submission of non-compliant or misleading listings may lead to account penalties or permanent removal.

6.10 Updates, Revisions, and Removal

  1. Suppliers must regularly review and update their listings to ensure that product information remains current.
  2. Outdated listings, discontinued products, or inaccurate details must be promptly corrected or removed.
  3. EmaanMall may automatically archive or unpublish inactive listings after a certain period of time.

6.11 Liability for Listing Content

  1. Suppliers are solely responsible for all content uploaded to the platform, including text, images, and promotional materials.
  2. EmaanMall assumes no responsibility for inaccuracies or legal violations arising from supplier-submitted content.
  3. In case of a dispute, the Supplier shall fully indemnify and hold harmless EmaanMall from any claims, damages, or losses resulting from the listing.

7. Order Processing and Fulfillment Policy

This section governs how suppliers must handle orders, delivery timelines, packaging, logistics, and cancellations, ensuring professional and lawful fulfillment practices on the EmaanMall Distribution Marketplace.

7.1 Purpose and Scope

This section defines the operational, ethical, and legal standards for processing, fulfilling, and delivering customer orders placed through EmaanMall Distribution Marketplace. All Suppliers, Manufacturers, Distributors, and Dealers are required to ensure that every transaction is completed promptly, accurately, and professionally, in line with EmaanMall’s fulfillment standards and applicable consumer protection laws.

7.2 Order Acceptance and Confirmation

  1. Once a customer places an order, the Supplier shall promptly review and confirm it through the Vendor Dashboard within the time specified by EmaanMall (usually within 24 hours).
  2. Failure to confirm an order within the stipulated time may lead to automatic cancellation or reassignment to another eligible supplier.
  3. Upon confirmation, the Supplier acknowledges full responsibility for fulfilling the order in accordance with product description, quantity, and specifications displayed at the time of sale.
  4. EmaanMall reserves the right to review and verify any order before confirmation in cases involving high-value or bulk transactions.

7.3 Order Fulfillment Timelines

  1. Suppliers must adhere to accurate dispatch and delivery timelines as displayed on their listings.
  2. Delayed fulfillment without valid reason may negatively affect the supplier’s on-time delivery rating and visibility.
  3. If a delay is unavoidable, the Supplier must immediately update the order status and notify both the buyer and EmaanMall support.
  4. Repeated or excessive delays may result in penalties, suspension, or limitation of account privileges.

7.4 Packaging Standards

  1. All products must be packed in secure, tamper-proof, and protective packaging appropriate to the product’s nature and size.
  2. Packaging must safeguard the item from damage, leakage, or contamination during transit.
  3. Suppliers must not use packaging displaying personal branding, contact details, or promotional material unrelated to EmaanMall, unless authorized.
  4. For fragile or perishable products, additional protective measures must be applied.
  5. Environmentally sustainable packaging materials are encouraged wherever feasible.

7.5 Labeling and Documentation

  1. Each shipment must include an accurate invoice or delivery note stating product name, quantity, price, and applicable taxes.
  2. All labeling must comply with legal requirements, including product identity, origin, expiry date, and safety warnings.
  3. Mislabeling or omission of mandatory information may result in penalties or returns.

7.6 Logistics and Delivery Coordination

  1. Suppliers may use EmaanMall’s approved logistics partners or arrange delivery through their own verified carriers.
  2. All shipments must include a trackable reference number updated promptly in the Vendor Dashboard.
  3. The Supplier bears full responsibility for product condition and timely arrival until delivery is confirmed.
  4. In case of delivery failure due to supplier error, the Supplier shall bear all related costs and re-delivery expenses.
  5. Any loss, theft, or damage during transit via an unauthorized courier is the Supplier’s sole liability.

7.7 Partial Fulfillment and Backorders

  1. Suppliers are expected to fulfill orders completely as per confirmed quantities.
  2. Partial shipments are discouraged unless expressly allowed by the buyer or EmaanMall in writing.
  3. If an item is unavailable, the Supplier must update inventory promptly and communicate restock dates.
  4. Substituting products without buyer consent is strictly prohibited.

7.8 Cancellation and Order Modifications

  1. Orders may only be canceled before dispatch, either by the Supplier (in valid cases) or by EmaanMall in accordance with buyer requests.
  2. Acceptable reasons for cancellation include stock errors, product defects, or verified pricing errors.
  3. All cancellations must be updated in the system with a valid reason.
  4. Repeated unjustified cancellations may lead to warnings, fee deductions, or suspension.
  5. Once shipped, no cancellation or modification may be made unless coordinated with EmaanMall support.

7.9 Returns and Replacement Obligations

  1. Suppliers must comply with EmaanMall’s Return and Refund Policy (Section 8).
  2. In case of defective, damaged, or incorrect items, the Supplier must arrange a replacement or refund promptly.
  3. All return logistics, inspection, and related costs shall follow EmaanMall’s process.
  4. Suppliers must not directly negotiate or pressure buyers to withdraw return requests.

7.10 Order Tracking and Status Updates

  1. Suppliers must regularly update order status (Confirmed, Packed, Dispatched, Delivered) in the Vendor Dashboard.
  2. Buyers must be able to track shipment progress in real-time or receive notifications.
  3. Failure to update order status may affect performance ratings and buyer trust.

7.11 Fulfillment Compliance and Audits

  1. EmaanMall reserves the right to monitor and audit supplier order processing and fulfillment performance at any time.
  2. Suppliers must cooperate with audits, providing documentation such as invoices, shipping records, and proof of delivery when requested.
  3. Non-compliance may result in warnings, fines, listing restrictions, or account termination.

7.12 Liability and Indemnification

  1. Suppliers are fully responsible for losses or damages arising from inaccurate listings, delayed delivery, or product defects.
  2. EmaanMall shall not be held liable for any direct or indirect damages resulting from supplier negligence, misrepresentation, or breach of fulfillment terms.
  3. The Supplier agrees to indemnify and hold EmaanMall harmless from all claims, costs, or liabilities resulting from order-related disputes, defective goods, or non-compliance with this policy.

8. Return, Refund, and Dispute Resolution Policy

This section defines the framework governing product returns, refunds, and dispute resolution processes on EmaanMall Distribution Marketplace. It ensures fairness, transparency, and accountability among Buyers, Suppliers, and EmaanMall while maintaining platform integrity.

8.1 Purpose and Scope

This section outlines the rights and responsibilities of Suppliers, Manufacturers, Distributors, Dealers, and Buyers in relation to product returns, refunds, and the resolution of transactional disputes on EmaanMall Distribution Marketplace. The objective is to ensure a fair, transparent, and efficient process that upholds customer satisfaction while protecting supplier interests and maintaining marketplace integrity.

8.2 General Principles

  1. All return and refund transactions must be conducted through the EmaanMall platform only; no off-platform settlements are permitted.
  2. Suppliers agree to honor EmaanMall’s Return and Refund Policy as a condition of participation.
  3. Every Supplier is responsible for maintaining transparent communication with EmaanMall and cooperating during the return, inspection, and refund process.
  4. All refunds must be approved by EmaanMall’s verification team to ensure authenticity and compliance with internal guidelines.

8.3 Return Eligibility

A Buyer may request a return under the following conditions:

  1. The received product is defective, damaged, expired, incorrect, or significantly different from its online description or images.
  2. The product delivered is missing parts, incomplete, or not functional as advertised.
  3. The product is within the allowable return period as defined by EmaanMall for each category.
  4. The product is returned in its original packaging, with all accessories, manuals, and invoices included.

Returns are not eligible under the following circumstances:

  • The Buyer changed their mind or ordered by mistake.
  • The product was damaged after delivery due to customer negligence.
  • Non-returnable products such as perishable goods, customized items, hygiene-sensitive items, software codes, or downloadable products.
  • The return request is made after the allowed time frame.

8.4 Return Process and Timeline

  1. Buyers initiate a return request through the EmaanMall platform within the specified return window.
  2. EmaanMall’s verification team reviews the request, evidence, and supporting images.
  3. Once approved, the Supplier will be notified to arrange pickup or replacement within a defined period (usually 3–7 working days).
  4. Upon receipt, the Supplier must inspect the returned item to verify the Buyer’s claim.
  5. If the return is valid, the Supplier shall proceed with refund or replacement according to policy.
  6. If the claim is invalid, the Supplier must provide justification and supporting evidence to EmaanMall for review.

8.5 Refund Eligibility and Procedure

  1. Refunds are processed only after the returned item is received, verified, and approved by the Supplier and EmaanMall’s quality assurance team.
  2. Refunds may be issued in one of the following forms:
    • Bank Transfer to the Buyer’s registered account;
    • Store Credit usable for future purchases;
    • Payment Reversal through the original payment method (if applicable).
  3. Refunds must be processed within 7–10 business days after confirmation of return validity.
  4. In cases where refund delays occur due to supplier inaction, EmaanMall reserves the right to deduct the amount directly from the supplier’s account balance or future payouts.

8.6 Replacement Policy

  1. If the Buyer opts for a replacement instead of a refund, the Supplier must ship the replacement product within 3–5 working days after approval.
  2. Replacement items must be of equal or higher quality and value, identical in specifications to the original purchase.
  3. If replacement stock is unavailable, the Supplier must issue a full refund.

8.7 Responsibility for Return Shipping Costs

  1. If the product is defective, damaged, or incorrect due to supplier fault, the supplier bears all return shipping and re-delivery costs.
  2. If the Buyer returns the item due to non-defective reasons (where allowed), the Buyer bears the return shipping cost.
  3. For disputed returns, EmaanMall may mediate and allocate cost responsibility after review.

8.8 Inspection and Quality Verification

  1. Returned products must be inspected by the Supplier and verified by EmaanMall before refund or replacement approval.
  2. EmaanMall reserves the right to request photographic or video proof from either party to validate claims.
  3. If any fraud or manipulation is detected during inspection (e.g., product swapping, false claims), the responsible party will face strict penalties including account suspension.

8.9 Dispute Resolution Mechanism

  1. In case of disagreement between a Buyer and Supplier regarding product quality, delivery, or refund eligibility, EmaanMall shall act as a neutral mediator.
  2. Both parties must cooperate fully by providing documentation, order IDs, product images, and correspondence history.
  3. EmaanMall’s decision in dispute cases shall be final and binding, based on evidence and platform policies.
  4. Suppliers are strictly prohibited from contacting buyers outside the platform to influence or negotiate dispute outcomes.
  5. Any form of buyer harassment, pressure, or retaliation will result in immediate account suspension.

8.10 Fraudulent or Abusive Return Claims

  1. EmaanMall maintains strict systems to detect fraudulent or excessive return requests.
  2. Buyers found misusing the return policy may be restricted from future purchases or permanently banned.
  3. Suppliers attempting to deny legitimate returns or tamper with evidence will face disciplinary actions including financial penalties and possible legal action.

  3. The Supplier shall fully indemnify and hold EmaanMall harmless against any claims or disputes arising from the Supplier’s breach of warranty, quality, or compliance obligations.

9. Payment, Fees, and Settlement Policy

It ensures transparency, accountability, and compliance with applicable financial and tax regulations in Pakistan and any other jurisdictions where EmaanMall operates.

9.2 General Payment Framework

  1. All payments for orders placed through the EmaanMall platform shall be collected by EmaanMall or its authorized payment partners on behalf of Suppliers.
  2. EmaanMall will then remit the net payable amount to the Supplier after deducting applicable commissions, service charges, fees, and taxes.
  3. Suppliers acknowledge that EmaanMall acts as a payment collection agent and not as a direct buyer of goods.
  4. All financial transactions must occur through EmaanMall’s integrated payment system; off-platform or direct payments between buyers and suppliers are strictly prohibited.

9.3 Commissions and Service Fees

  1. EmaanMall shall charge a commission fee on every successfully completed order. The rate of commission will vary by category, product type, and sales volume, and may be updated periodically with prior notice.
  2. Commission is calculated as a percentage of the order value (exclusive of taxes and delivery charges).
  3. Additional service fees may apply, including but not limited to:
  • Payment gateway transaction fees,
  • Logistics or shipping service charges (if applicable),
  • Promotional or advertising fees (optional),
  • Penalty deductions for policy violations or delayed order fulfillment.
  1. All applicable fees and deductions will be transparently reflected in the Supplier’s financial dashboard.
  2. EmaanMall reserves the right to revise commission or fee structures with at least seven (7) days’ prior notice to suppliers via email or dashboard notifications.

9.4 Payment Collection Methods

  1. EmaanMall may collect buyer payments through various secure methods, including:
  • Credit or debit cards,
  • Bank transfers,
  • Mobile wallets,
  • Cash on Delivery (COD),
  • EmaanMall Wallet or internal credit balance.

  2. For COD orders, payment shall be deemed collected only after successful delivery and confirmation by EmaanMall’s logistics partner.

9.5 Supplier Settlement and Payout Schedule

  1. EmaanMall shall disburse supplier payments on a weekly or biweekly basis, as per the platform’s standard settlement cycle.
  2. Settlement amounts will include all successfully delivered and completed orders, after deducting:
  • Commissions,
  • Service fees,
  • Refunds and returns,
  • Taxes (if applicable).

  2. Suppliers must ensure that all bank details and beneficiary information provided are accurate and current.
  3. EmaanMall shall not be liable for delays or failed transfers caused by incorrect account details, banking errors, or supplier inaction.

9.6 Invoicing and Taxation

  1. Suppliers are responsible for complying with all tax laws and regulations, including sales tax, income tax, and any provincial or federal levies applicable to their business.
  2. Suppliers must provide valid National Tax Number (NTN) or Sales Tax Registration information as part of their account profile.
  3. EmaanMall will issue commission invoices to suppliers for all fees and deductions made, in compliance with Pakistani tax laws.
  4. Where required by law, EmaanMall may withhold applicable taxes at source and remit them to the relevant tax authorities.
  5. Suppliers are responsible for issuing tax-compliant invoices to buyers for their own product sales, including details of applicable GST or VAT.
  6. EmaanMall may request suppliers to submit monthly sales summaries or invoices for reconciliation and audit purposes.

9.7 Payment Reconciliation and Reporting

  1. Suppliers may access detailed transaction reports, including commissions, fees, deductions, and settlement history, through their Vendor Dashboard.
  2. Any discrepancies must be reported to EmaanMall in writing within five (5) working days of receiving a payout summary.
  3. EmaanMall will review the claim and, if verified, adjust the amount in the subsequent settlement cycle.
  4. Failure to report discrepancies within the specified period will be deemed as acceptance of the payment summary.

9.8 Handling of Refunds and Chargebacks

  1. In case of approved refunds (as per Section 8), EmaanMall may deduct the refunded amount directly from the supplier’s future settlements.
  2. If a buyer initiates a chargeback through a payment gateway, EmaanMall will investigate the claim and may temporarily hold the disputed amount until resolution.
  3. Suppliers must cooperate with EmaanMall’s dispute team by providing necessary evidence (e.g., delivery proof, invoices, or product photos).
  4. If the chargeback is resolved in favor of the buyer, the supplier shall bear the loss including transaction fees.

9.9 Deductions and Adjustments

EmaanMall reserves the right to make automatic deductions or adjustments from supplier settlements for:

  • Order refunds or reversals,
  • Policy violation penalties,
  • Delivery failure costs,
  • Buyer compensation claims approved by EmaanMall,
  • Tax or government-imposed levies,
  • Overpayments or accounting corrections.

All deductions will be transparently displayed in the Supplier’s financial dashboard.

9.10 Currency and Exchange Rate Policy

  1. All payments will be processed in Pakistani Rupees (PKR) unless otherwise stated in a separate agreement.
  2. For cross-border transactions, exchange rates applied will follow the prevailing interbank rate at the time of settlement.
  3. Any bank conversion or transfer charges will be borne by the Supplier unless otherwise agreed.

9.11 Payment Disputes

  1. If a Supplier believes a payment or deduction has been made in error, they must submit a formal Payment Dispute Request through EmaanMall’s Vendor Support within five (5) business days of payout.
  2. The request must include relevant documents such as invoices, transaction IDs, and communication records.
  3. EmaanMall will review the dispute within 7–10 business days and issue a written response with the outcome.
  4. The Supplier agrees that EmaanMall’s decision will be final and binding, based on transaction evidence and policy compliance.

9.12 Payment Holds and Suspension

EmaanMall reserves the right to withhold or delay payments under the following conditions:

  • Ongoing disputes or chargebacks,
  • Suspected fraudulent activity,
  • Violation of Terms or compliance failure,
  • Pending verification of business credentials or tax documents,
  • Ongoing investigation of order complaints or quality issues.

Payment will be released only after the matter is resolved to EmaanMall’s satisfaction.

9.13 Final Settlement and Termination of Account

  1. Upon termination or deactivation of a supplier account, EmaanMall will conduct a final reconciliation of all pending orders, refunds, and fees.
  2. Any remaining balance after deductions will be remitted to the supplier’s registered bank account within 30 days, subject to clearance of disputes.
  3. If the supplier owes money to EmaanMall, the outstanding amount will be invoiced and must be paid within seven (7) days of notice.
  4. EmaanMall reserves the right to pursue legal remedies for recovery of unpaid dues.

9.14 Limitation of Liability

  1. EmaanMall shall not be responsible for delays caused by banking systems, payment gateways, force majeure events, or regulatory restrictions.
  2. Under no circumstances shall EmaanMall be liable for indirect, incidental, or consequential losses arising from payment delays, technical errors, or supplier negligence.
  3. The Supplier agrees to fully indemnify EmaanMall against any claims, costs, or penalties resulting from non-compliance with taxation or invoicing obligations.

2.4 “Distributor”

Means an entity that purchases goods in bulk directly from manufacturers or authorized sources and resells them through EmaanMall to retailers, wholesalers, or end users.

2.5 “Manufacturer”

Refers to an individual or organization engaged in the production or fabrication of goods, who lists such products on EmaanMall for direct or indirect sale to distributors, retailers, or consumers.

2.6 “Dealer” or “Wholesaler”

Means a business or individual who purchases goods in bulk quantities for the purpose of resale, whether online or offline, through the EmaanMall platform.

2.7 “Buyer” or “Customer”

Refers to any person, retailer, business entity, or end user who purchases or intends to purchase products from suppliers listed on EmaanMall.

2.8 “Account” or “Vendor Dashboard”

Means the online account created and maintained by a supplier, distributor, manufacturer, or dealer upon registration on EmaanMall, used to manage listings, orders, payments, and communication with buyers.

2.9 “Products”

Means all goods, items, or materials that are listed, offered, or sold through EmaanMall, whether physical or digital in nature, and including packaging, labeling, and related accessories.

2.10 “Order”

Refers to any confirmed purchase or sale transaction initiated by a buyer through the EmaanMall platform and accepted by a supplier.

2.11 “Transaction”

Means the complete commercial exchange between a buyer and a supplier conducted through EmaanMall, including order placement, payment, shipment, and fulfillment.

2.12 “Commission” or “Service Fee”

Means the percentage or fixed amount charged by EmaanMall for facilitating sales or services on its platform.

2.13 “Policies”

Refers to all rules, regulations, operational procedures, and guidelines issued or published by EmaanMall from time to time, including but not limited to the Privacy Policy, Return Policy, and Product Listing Policy.

2.14 “Business Day”

3.3 Accuracy and Truthfulness of Information

  1. The supplier warrants that all information submitted during registration and throughout their engagement with EmaanMall is accurate, complete, and truthful.
  2. Any misrepresentation, falsification, or omission of material information shall constitute a breach of these Terms and may result in immediate suspension or termination of the supplier’s account without prior notice.
  3. EmaanMall reserves the right to take legal action or withhold payments in cases of fraudulent or misleading information provided during registration.

3.4 Business Verification and Inspection Rights

  1. EmaanMall reserves the right to conduct physical or virtual inspections of a supplier’s business premises, warehouse, or manufacturing unit to ensure legitimacy and compliance with marketplace standards.
  2. Suppliers shall fully cooperate with EmaanMall’s compliance team during such inspections and shall provide all requested documents or evidence in a timely manner.
  3. Failure to comply with verification requests may result in account suspension, delay in approval, or termination of access to platform services.

3.5 Non-Transferability of Account

  1. The supplier’s EmaanMall account is non-transferable and shall not be sold, leased, assigned, or otherwise transferred to any other individual or entity without prior written approval from EmaanMall.

  3. EmaanMall shall not be held liable for any loss, damage, or unauthorized transactions arising from the Supplier’s failure to safeguard their account credentials.
  4. If any unauthorized access or suspicious activity is detected, the Supplier must immediately notify EmaanMall’s support team in writing.

4.3 Accuracy and Integrity of Account Information

  1. Suppliers must ensure that all information provided in their account dashboard — including company profile, contact information, tax details, and product listings — is accurate, complete, and regularly updated.
  2. Misleading, false, or outdated information may result in suspension or removal of listings and may affect the Supplier’s overall rating and visibility on the platform.
  3. EmaanMall reserves the right to verify or audit any information displayed in a Supplier’s account at any time.

4.4 Authorized Use and Access

  1. Only the registered Supplier or its duly authorized employees or representatives may access and operate the Vendor Account.
  2. The Supplier shall be responsible for all actions, communications, uploads, or transactions performed through their account, whether done by themselves or by any person acting on their behalf.
  3. The Supplier must ensure that all persons with access to the account are aware of and comply with these Terms and Conditions.

4.5 Prohibition of Unauthorized or Fraudulent Activity

The Supplier agrees not to engage in any of the following acts:

  • Creating multiple accounts without EmaanMall’s written permission;
  • Using fake identities, misleading trade names, or false addresses;
  • Posting fraudulent or duplicate listings;
  • Manipulating product ratings, reviews, or feedback;
  • Engaging in fraudulent orders, artificial sales boosting, or misuse of platform promotions;
  • Misusing EmaanMall’s name, logo, or intellectual property;
  • Attempting to gain unauthorized access to EmaanMall’s systems or other users’ accounts.

EmaanMall reserves the right to immediately suspend or permanently terminate any account found involved in such activities and may take legal action where applicable.

4.6 Communication and Conduct

  1. Suppliers must maintain professional, respectful, and ethical communication with buyers, EmaanMall staff, and other vendors at all times.
  2. Abusive language, harassment, discrimination, or unethical conduct of any kind is strictly prohibited.
  3. All communications related to transactions should be conducted only through authorized channels provided by EmaanMall (such as chat, order messages, or vendor dashboard tools).
  4. Off-platform solicitation of buyers or attempts to bypass EmaanMall’s order system are not allowed and may lead to permanent account termination.

4.7 Account Security and Monitoring

  1. EmaanMall employs reasonable security measures to protect account data and user information; however, Suppliers are equally responsible for maintaining proper cybersecurity practices on their devices and networks.
  2. The Supplier agrees that EmaanMall may monitor or audit account activity to ensure compliance with these Terms and to prevent fraud, misuse, or violations.
  3. Any detected irregularities may result in immediate suspension pending investigation.

4.8 Suspension and Reinstatement of Account

  1. EmaanMall reserves the right to temporarily suspend or restrict any account in case of suspected policy violations, security threats, or pending verification checks.
  2. During suspension, the Supplier may not list, sell, or withdraw funds until the issue is resolved.
  3. To reinstate access, the Supplier must cooperate fully with EmaanMall’s support team, provide requested documentation, and rectify any identified non-compliance.

4.9 Account Deactivation by Supplier

  1. A Supplier may request voluntary deactivation of their account by submitting a written request to EmaanMall’s support department.
  2. Before closure, all pending orders must be fulfilled or lawfully canceled, and all outstanding payments, fees, or disputes must be settled.
  3. Once deactivated, access to the Vendor Dashboard and its data may be permanently removed in accordance with EmaanMall’s data retention policy.

4.10 Consequences of Breach

  1. Any violation of the obligations stated in this section may lead to account suspension, permanent termination, withholding of payments, and/or legal proceedings, depending on the severity of the breach.
  2. EmaanMall shall not be liable for any financial or reputational loss suffered by the Supplier as a result of such disciplinary actions.

5. Supplier Responsibilities

  4. Suppliers are expected to maintain EmaanMall’s reputation for reliability, honesty, and trustworthiness through fair trade and responsible business practices.

5.2 Product Listing Responsibilities

  1. All product listings must be accurate, complete, and truthful, including correct titles, images, specifications, materials, origin, and pricing.
  2. Suppliers must not misrepresent, exaggerate, or conceal any information related to the quality, function, or usability of their products.
  3. Product descriptions must comply with EmaanMall’s Product Listing Policy and should not contain misleading claims, offensive content, or unauthorized brand references.
  4. Each product listing must include necessary compliance or safety information when applicable (e.g., expiry date, certification number, or safety label).
  5. Counterfeit, fake, or replica items are strictly prohibited. Violation may result in immediate account termination and legal action.

5.3 Product Authenticity and Legality

  1. The Supplier guarantees that all products offered on the platform are authentic, original, and legally owned or authorized for sale.
  2. The Supplier must possess valid distribution or manufacturing rights for branded items and must not infringe upon third-party intellectual property rights.
  3. The sale of illegal, banned, or restricted products (e.g., narcotics, unauthorized pharmaceuticals, counterfeit electronics, weapons, etc.) is strictly forbidden.
  4. If any product is found to be counterfeit, mislabeled, or in violation of the law, EmaanMall reserves the right to remove the listing, withhold payments, and initiate further investigation.

5.4 Quality Assurance

  1. The Supplier must ensure that all products are of merchantable quality, free from defects, and conform to their listed specifications.
  2. Products must be properly inspected, packaged, and labeled before dispatch to ensure they meet consumer expectations and regulatory requirements.
  3. EmaanMall reserves the right to perform random quality inspections or request product samples for verification.
  4. Repeated customer complaints or verified quality issues may result in penalties, listing restrictions, or account suspension.

5.5 Order Fulfillment and Timely Delivery

  1. The Supplier shall promptly process and fulfill all confirmed orders received through the EmaanMall platform.
  2. All orders must be packed and shipped within the specified timeframe communicated in the product listing or as agreed with the buyer.
  3. The Supplier must use reliable and trackable delivery methods and ensure that products are securely packaged to prevent damage in transit.
  4. Any delay, shortage, or stock unavailability must be immediately communicated to EmaanMall and the buyer through proper channels.
  5. Repeated delays or cancellations due to Supplier negligence may affect vendor ratings and result in temporary suspension.

5.6 Pricing Transparency and Consistency

  1. The Supplier must set product prices that are clear, consistent, and inclusive of all applicable taxes, duties, or surcharges.
  2. Prices listed on EmaanMall must not exceed the supplier’s standard retail or distribution rates in other markets or platforms.
  3. Any change in pricing must be updated in real time through the Vendor Dashboard to avoid buyer disputes or payment discrepancies.

5.7 Stock and Inventory Management

  1. The Supplier shall maintain accurate inventory levels and promptly update stock availability on EmaanMall.
  2. “Out of stock” or unavailable products must not be displayed as available for sale.
  3. Overselling or non-delivery of confirmed orders due to poor inventory management will be treated as a violation of these Terms.

5.8 Communication and Customer Service

  1. The Supplier must respond to all buyer inquiries, complaints, or messages politely and within a reasonable time frame (ideally within 24–48 hours).
  2. Misleading, rude, or unprofessional communication is strictly prohibited.
  3. Suppliers must provide after-sale support where applicable (e.g., warranty, return, or replacement requests).
  4. EmaanMall reserves the right to monitor communication between buyers and suppliers to ensure quality assurance and policy compliance.

5.9 Compliance with Applicable Laws

  1. The Supplier is responsible for processing all valid return or replacement requests raised by buyers in accordance with EmaanMall’s Return & Refund Policy.
  2. Returned goods must be inspected upon receipt, and the buyer must be refunded or provided with a replacement where appropriate.
  3. If a Supplier repeatedly refuses to honor return policies, EmaanMall may intervene, process refunds directly, and recover the amount from the Supplier’s payable balance.

5.11 Cooperation with EmaanMall

  1. Suppliers must cooperate fully with EmaanMall’s support, compliance, or audit teams whenever required.
  2. EmaanMall may request data, documentation, or clarification related to sales performance, product authenticity, or disputes.
  3. Non-cooperation or delayed response may lead to account penalties or suspension.

5.12 Responsibility for Third-Party Actions

  1. If the Supplier employs logistics partners, agents, or third-party service providers for packaging, shipping, or customer service, the Supplier remains fully liable for their actions or omissions.
  2. EmaanMall shall not be held responsible for errors, losses, or delays caused by such third parties engaged by the Supplier.

5.13 Ethical Conduct and Business Integrity

  1. Suppliers must conduct business honestly, avoiding corruption, bribery, or any unethical practice.
  2. No supplier shall offer or accept any form of commission, gift, or benefit that could influence transactions or decisions on the platform.
  3. Any evidence of unethical behavior shall lead to immediate suspension and potential legal action.

10. Data Privacy, Confidentiality, and Information Security Policy

  • Silver Supplier – Satisfactory performance with potential for growth.
  • Under Review – Requires improvement and compliance review.

Suppliers with higher performance tiers may receive priority ranking, promotional exposure, and eligibility for special campaigns or incentives.

15.8 Non-Compliance and Penalty Mechanisms

  1. Warning Notice – Formal notice requiring corrective action within a specified period.
  2. Temporary Suspension – Limited access to new orders or promotional participation.
  3. Listing Restrictions – Temporary hiding or removal of certain products.
  4. Account Downgrade – Loss of premium benefits or visibility.
  5. Monetary Penalties – Deductions from settlements for repeated policy violations.
  6. Permanent Account Termination – In severe or repeated cases of misconduct, fraud, or manipulation.

EmaanMall reserves full discretion to determine the severity of penalties based on the nature and recurrence of violations.

15.9 Supplier Appeals and Corrective Actions

  1. A Supplier subject to penalties may submit a written appeal within seven (7) working days of receiving the disciplinary notice.
  2. The appeal must include supporting documents, corrective action evidence, and a commitment to improved compliance.
  3. EmaanMall will review the appeal and respond within a reasonable timeframe.
  4. The decision following appeal review shall be final and binding.

15.10 Continuous Improvement and Support

  1. EmaanMall encourages suppliers to treat feedback and performance reviews as opportunities for growth.
  2. Training materials, webinars, or performance improvement programs may be offered periodically.
  3. Suppliers who demonstrate consistent progress may have penalties reduced or be reclassified to a higher tier.

15.11 Transparency and Public Display of Ratings

  1. EmaanMall maintains transparency by publicly displaying average ratings and key performance metrics on each supplier’s store page.
  2. These metrics help buyers make informed purchasing decisions and encourage suppliers to uphold professional standards.
  3. EmaanMall reserves the right to withhold or anonymize certain metrics for internal auditing or quality assurance purposes.

15.12 Legal and Ethical Obligations

  1. Any deliberate manipulation of reviews, falsification of data, or attempt to mislead the marketplace is considered fraudulent conduct and may lead to civil or criminal liability under applicable laws.
  2. Suppliers agree to fully cooperate with EmaanMall’s audits and investigations regarding reviews, performance, or buyer complaints.
  3. EmaanMall shall not be liable for any financial, reputational, or operational damages suffered by suppliers as a result of legitimate performance evaluations.

16. Account Suspension, Termination, and Reinstatement Policy

This Section defines the circumstances under which EmaanMall Distribution Marketplace may suspend, restrict, or terminate a supplier, distributor, manufacturer, or dealer account, along with the process for reinstatement and handling of data after account closure.

16.1. Grounds for Suspension or Termination

  1. Violation of Terms:
    • Breach of any clause under these Terms and Conditions or related EmaanMall policies.
    • Repeated violation despite prior warnings.
  2. Fraudulent or Misleading Activity:
    • Engaging in deceptive listings, fake sales, or manipulation of ratings and reviews.
    • Use of counterfeit products, false certifications, or unauthorized brand representation.
  3. Illegal or Prohibited Conduct:
    • Sale of prohibited, unsafe, or non-compliant items.
    • Involvement in any unlawful or unethical activities under applicable laws.
  4. Poor Performance or Customer Complaints:
    • Excessive delayed deliveries, product mismatches, or high refund rates.
    • Consistently low customer ratings and unresolved complaints.
  5. Non-Payment or Financial Misconduct:
    • Failure to clear dues, commissions, or other payable charges.
    • Misrepresentation of tax information or financial data.
  6. Security or Data Breach: Any action compromising the platform’s integrity, customer data, or operational security.
  7. Force Majeure or Regulatory Compliance: Government orders, sanctions, or unforeseen events making performance impossible.

16.2. Suspension Procedure

  1. Notification: EmaanMall will notify the supplier through the registered email and/or dashboard regarding the reason for suspension and the corrective steps required.
  2. Temporary Restriction: During suspension, suppliers may lose access to certain functionalities, including product listing, order management, or payment withdrawal, until the issue is resolved.
  3. Rectification Period: A reasonable time frame (usually 7–14 business days) may be provided to rectify the violation or submit relevant evidence supporting compliance.

16.3. Termination Procedure

  1. Final Notice: If the supplier fails to comply within the rectification period or the violation is deemed severe, EmaanMall may terminate the account permanently.
  2. Account Deactivation: Upon termination, all active listings, pending orders, and ongoing transactions will be automatically canceled or transferred as per EmaanMall’s discretion.
  3. Payment Settlement: Any remaining dues or payments owed to or from the supplier shall be settled in accordance with Section 9 (Payment, Fees, and Settlement Policy).
  4. Legal Action: EmaanMall reserves the right to initiate legal proceedings for damages or policy violations where applicable.

16.4. Appeal and Reinstatement

  1. Right to Appeal: A terminated or suspended supplier may file a formal appeal within 15 business days from the date of notice, submitting all supporting documents and explanations.
  2. Review Process: EmaanMall’s compliance and legal team will evaluate the appeal objectively, considering the nature of the violation and the supplier’s prior history.
  3. Reinstatement Conditions: The supplier may be reinstated upon successful verification, subject to signing a written compliance undertaking and fulfilling any pending obligations.
  4. Permanent Ban: In case of severe violations such as fraud, sale of counterfeit goods, or data misuse, EmaanMall reserves the right to impose a permanent ban without eligibility for reinstatement.

16.5. Data Retention and Post-Termination Handling

  1. Retention Period: EmaanMall may retain transaction records, communications, and business data for a legally mandated period to ensure compliance with tax, audit, and regulatory requirements.
  2. Data Deletion: Upon expiry of the retention period or upon legitimate request, personal and business data shall be deleted or anonymized in accordance with Section 10 (Data Privacy Policy).
  3. Access After Termination: Once an account is terminated, the supplier will lose access to all platform tools, analytics, and stored data except as required for settlement or legal compliance.

16.6. Effect of Termination

  1. Cessation of Rights: All rights and licenses granted to the supplier under these Terms shall immediately cease upon termination.
  2. Obligations Survive Termination: Certain obligations — including confidentiality, payment of dues, legal compliance, and dispute resolution — shall survive the termination of the account.
  3. Communication with Buyers: EmaanMall reserves the right to inform buyers or business partners about the termination status where necessary to protect marketplace integrity.

17. Limitation of Liability and Indemnification Policy

This section defines the extent of EmaanMall Distribution Marketplace’s legal liability, the responsibilities of suppliers in case of loss or damage, and the indemnification obligations that protect EmaanMall, its affiliates, and users from potential claims or disputes arising from supplier activities.

17.1. General Limitation of Liability

  1. Platform as an Intermediary: EmaanMall operates solely as an online B2B marketplace facilitating connections between buyers and suppliers, distributors, manufacturers, and dealers. It does not own, produce, store, or directly sell the listed products.
  2. No Guarantee of Transactions: EmaanMall shall not be liable for any failure, delay, or dispute related to product supply, quality, warranty, or payment between the supplier and buyer.
  3. Indirect or Consequential Losses: EmaanMall shall not, under any circumstances, be responsible for indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profits, revenue, goodwill, business interruption, or reputational harm.
  4. Maximum Liability Cap: In the event that EmaanMall is found legally liable for any claim, its total liability shall not exceed the total commission or service fees paid by the supplier to EmaanMall for the transaction in question within the preceding three (3) months.
  5. No Liability for Third-Party Services: EmaanMall disclaims any liability arising from third-party integrations, logistics providers, payment gateways, or data services used by suppliers through the platform.

17.2. Supplier Liability

  1. Supplier Responsibility: Each supplier, distributor, manufacturer, or dealer is fully responsible for the authenticity, legality, quality, labeling, and safety of their listed products.
  2. Breach Consequences: If a supplier’s action causes harm, loss, or damages to EmaanMall, its users, or third parties, the supplier shall bear full financial and legal liability.
  3. Product Claims: The supplier shall be solely responsible for handling all product-related claims, including warranty, refund disputes, and regulatory compliance issues.
  4. Accuracy of Representations: Suppliers agree that all statements and descriptions made on the platform are true and not misleading. False claims may result in termination and legal action.

17.3. Indemnification Obligations

  1. Supplier’s Duty to Indemnify: The supplier agrees to indemnify, defend, and hold harmless EmaanMall, its parent company, affiliates, officers, employees, and agents from all claims, damages, and expenses arising from breach of terms, violations, or third-party claims.
  2. Defense and Cooperation: EmaanMall may assume control of the defense in any claim. The supplier shall fully cooperate and bear associated costs.
  3. Notice of Claim: EmaanMall will notify the supplier in writing upon becoming aware of any claim subject to indemnification. Failure to respond timely may forfeit dispute rights.

17.4. Disclaimer of Warranties

  • Platform policy updates and fee adjustments.
  • Third-party delays or regulatory actions beyond EmaanMall’s control.

17.6. Survival of Obligations

All indemnity, liability, and confidentiality obligations of the supplier shall survive termination of their account or business relationship with EmaanMall.

18. Governing Law, Jurisdiction, and Dispute Resolution Mechanism (EmaanMall Distribution Marketplace)

This section outlines the legal framework that governs the EmaanMall Distribution Marketplace, including the applicable law, jurisdiction, and methods for resolving disputes between suppliers, buyers, and the platform. It ensures that all parties have a clear understanding of their legal rights, responsibilities, and the process to seek redress for grievances.

18.1. Governing Law

  1. Applicable Legal Framework: These Terms and all related transactions shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles.
  2. Compliance with Local Regulations: All suppliers, distributors, manufacturers, and dealers must ensure full compliance with local, provincial, and national laws applicable to trade, taxation, product safety, and online commerce.
  3. Cross-Border Transactions: For international suppliers or buyers, the parties acknowledge that cross-border trade may involve additional import/export controls, customs regulations, and foreign exchange laws, which shall also be complied with at all times.

18.2. Jurisdiction

  1. Exclusive Jurisdiction: In case of any dispute, controversy, or claim arising out of or relating to these Terms, the parties agree that the courts of Karachi, Pakistan shall have exclusive jurisdiction to adjudicate the matter.

  3. Settlement Encouragement: Both parties are encouraged to cooperate, provide all requested information, and attempt to settle the issue internally without external legal involvement.

18.3.2. Mediation or Conciliation (Stage 2)

  1. Neutral Mediation: If the internal resolution fails, the dispute may be referred to mediation, facilitated by a neutral mediator appointed by EmaanMall or mutually agreed upon by both parties.
  2. Timeline: The mediation process shall be completed within 30 business days from initiation, unless extended by mutual consent.
  3. Outcome: The mediator shall provide a written recommendation or settlement proposal, which, if accepted by both parties, shall be binding and enforceable.

18.3.3. Arbitration (Stage 3)

  1. Official Channels: Communication occurs through registered email, dashboard, or verified channels.
  2. Validity of Communication: Notices sent to registered contacts are deemed delivered.
  3. Responsibility for Contact Details: Suppliers must keep their contact info current.
  4. Language of Communication: English prevails in case of discrepancies.

19.5. Emergency or Policy Enforcement Updates

  1. Immediate Effect: Compliance or security-related changes may take effect immediately.
  2. Retroactive Enforcement: May apply in cases of fraud or misuse.

19.6. Record and Proof of Communication

  1. Electronic Records: All notifications transmitted electronically are legally valid.
  2. Proof of Delivery: A sent email or platform notice serves as proof of delivery.

19.7. Term Interpretation and Priority

  1. Interpretation: Ambiguities shall favor EmaanMall’s operational intent.
  2. Hierarchy of Documents: Master Terms prevail over specific policies unless otherwise stated.

20. Miscellaneous Provisions and Final Clauses (EmaanMall Distribution Marketplace)

This agreement shall remain valid and enforceable throughout their continued engagement with the platform, unless terminated in accordance with Section 16.
